Associate Secretary (Legal Counsel)
Supporting the Company Secretary and Corporate Secretaries to INGs boards from a legal perspective
As an Associate Secretary, you work in the Corporate Secretariat department at the very heart of ING. You play an important role in supporting the Company Secretary and Corporate Secretaries to INGs corporate boards, with whom you work closely together on various corporate governance aspects from a legal perspective. This includes supporting the annual cycle of work and implementation of special projects in this area, always with innovation in mind in order to improve and accelerate our deliverables and processes. You also work intensively with your fellow Associate Secretary, and with the Support employees (the latter preparing the agendas and coordinating the documentation flow relating to the board meetings) in the day-to-day planning and co-ordination of board meetings. You ensure optimum coordination between the Company Secretary, Corporate Secretaries and the Support employees. Wherever necessary, you also step in for your Support colleagues to ensure the continuity of operations. In addition, you are a crucial liaison with internal departments of ING in relation to corporate governance related aspects and with respect to board meetings it among others encompasses a variety of information requests.
Your role is quite diverse, and no day will ever be the same, but apart from these broader responsibilities your primary tasks/deliverables will be supporting the Company Secretary and Corporate Secretary, where needed in alignment with the Corporate Legal Department and other ING departments, in:
- Maintaining the ING decision structure, the corporate board charters and the ING Governance Manual, among others, based on and aligned with (the developments in) the requirements of the Dutch Corporate Governance Code, the Dutch Banking Code, applicable EBA Guidelines, Basel/CRD and other European or US legislation;
- Coordinating/preparing due diligence related requests, including the provisioning of board meeting related information where applicable, and communicating on this with stakeholders, including INGs supervisors/regulators and internal/external auditors;
- Coordinating/preparing INGs Annual General Meeting (AGM) of shareholders which, among others, includes the convocation, proxy voting, legal advice before and during the AGM, contacting stakeholders/voting advisory firms, depository US shares, et cetera;
- Preparing the SB Chapter and providing input for the Corporate Governance chapter of the ING Annual Report, including demonstrating compliance with INGs application of the Dutch Corporate Governance Code and the Dutch Banking Code that are within the remit of Corporate Secretariat;
- Taking minutes of selected corporate board meetings if and when deemed necessary, including the required preparations and follow-up;
- Providing quality assurance on corporate and board related resolutions.
Your working environment
As an Associate Secretary, you work with 8 direct colleagues within the Corporate Secretariat in Amsterdam, part of ING Legal. You will report directly to the Head of Corporate Secretariat.
Corporate Secretariat supports ING’s corporate boards (the Executive Board of ING Groep N.V., the Management Board Banking of ING Bank N.V. and the Supervisory Board of ING Groep N.V. and ING Bank N.V.) and its related committees. The team is responsible for facilitating and supporting ING’s board effectiveness and ING’s corporate governance processes. By proactively managing these two pillars, Corporate Secretariat drives the wide range and variety of the team’s duties. As a trusted advisor to these boards, the main responsibility of Corporate Secretariat is to organise, coordinate, advise on and take minutes of every board meeting, including the Annual General Meeting (AGM) of ING Groep N.V. The team also acts as the gatekeeper and liaison between the boards, the rest of the ING organisation and other stakeholders, such as regulatory and supervisory bodies. In addition, Corporate Secretariat is also responsible for corporate transportation (executive drivers).

You are a loyal and discrete professional. On all levels and for a wide variety of parties, you are a reliable, convincing and persisting discussion partner. You are proactive and hands-on, flexible, curious, innovative, open to new developments and you are able to quickly familiarise yourself with new subject matters. You are also an expert in planning and organising, able to prioritise and you have an analytical mind and excellent communication skills. Moreover, you are service oriented, highly organisationally sensitive, you have excellent knowledge of and experience with the ING organisation, you are able to work in a demanding environment, you are an expert in drafting corporate governance related documents and you are a real team player.
Furthermore, you:
- Have an academic law degree, preferably in Dutch law;
- Have at least 3-4 years relevant working experience, preferably in a banking environment;
- Have excellent skills in working with MS Office (Word, Excel, PowerPoint) and can familiarise yourself quickly with other IT applications as well.
Also, you are fluent in English, both spoken and in writing.
